There are a multitude of reasons for the sale of (parts of) a company. These can be succession issues, corporate spin-offs, corporate restructuring involving new equity investors as well as financing of growth opportunities.

Our advice is independent and we act exclusively in the interest of our clients.

GVG advises private and public sector clients with respect to structuring complex transactions. We accompany our clients every step of the way from valuation to drafting of the relevant documentation, conducting Due Diligence and contract negotiations.

The key tasks are:

Buy side advice

GVG commands a long standing in depth expertise with respect to acquisitions be they public takeovers or individually negotiated purchases of shares or assets.

Our goal is to position our clients competitively in any form of organized sales process enabling them to acquire the desired company or assets for a reasonable consideration. Our services are not limited to the acquisition process per se but commence far in advance by identifying suitable targets and preparing and conducting an approach.

The key tasks are:

  • Identifying and approaching suitable targets devising a buy-and-build strategy if applicable
  • Drafting an NDA
  • Drafting indicative offer / LOI
  • Valuation based on Discounted Cash-Flows, comparable companies and comparable transactions multiples
  • Supervising the Due Diligence process as well as analyzing relevant documentation provided by the sellers
  • Conducting contract negotiations
  • Devising a financing strategy

Distressed M&A

Advising companies in so called “special situations” is one of GVG’s strongholds. These situations are acute earnings or liquidity crises or they involve advisory services for companies that have already filed for insolvency or are threatened by over indebtedness.

These complex circumstances require a highly individual approach and swift bold action. Our task is to devise a transaction that safeguards the interests of all major stakeholders (shareholders, banks, suppliers, customers and – if necessary – the administrator).

Our global network puts us into the position to identify domestic and international investors and integrate them into a structured process. In addition we have long established contacts with all relevant special situations investors.

Our clients in these situations are shareholders, companies, banks or other debtors, administrators or financial investors.

If needed be we can provide experts who can assist in the context of operational restructuring and corporate crisis management.

Financing

We advise mid-size companies and investors in all aspects of corporate finance i.e.:

  • Acquisition financing

  • Balance sheet restructuring
  • Re-negotiation of covenants

Our financing concepts involve the entire spectrum of credit products from classic bank debt to mezzanine products. That may involve assisting our clients in filing for eligible federal or state subsidies.
